1. Agreement Overview

By joining the GoLove Affiliate Program ("Program"), you ("Affiliate" or "You") agree to the following Terms & Conditions. Failure to comply, as determined by us in our sole discretion, may result in termination of your account and forfeiture of any commissions.

GoLove operates an AI Companion / AI Dating platform that includes adult content. By participating in the Program, you acknowledge that you are promoting an adult product and accept full responsibility for compliance with all applicable adult content regulations in the jurisdictions where you operate.

2. Representations and Warranties

You represent and warrant that:
- You are over the age of 18 (or the age of majority in your jurisdiction, whichever is greater) and are legally authorized to accept and capable of accepting these Terms & Conditions.
- You will submit true, complete, and current information and keep all information up-to-date.
- You are responsible for all activity and/or use on your account.
- You are exclusively operating and/or advertising in jurisdictions where the distribution and/or sale of adult material is NOT forbidden.
- You will only target audiences who are of legal age to view and consume adult content in their jurisdiction.
- Your participation in the Program is contingent on your compliance with all applicable laws and ethical standards, as well as these Terms & Conditions.

3. Commission Structure

GoLove offers the following commission models:

- CPA (Cost per Acquisition / FTD): Affiliates earn a one-time commission when a referred user successfully completes their First Time Deposit (FTD) on any subscription tier. Only the initial qualifying purchase is eligible for commission — subsequent transactions, rebills, or upgrades by the same user will not generate additional CPA payouts. Commissions are awarded only for valid, completed sales and do not apply to cancelled, refunded, chargebacked, or fraudulent transactions.

- RevShare: Affiliates earn a percentage commission on all qualifying payments made by referred users, including initial purchases, rebills, and upgrades. Commission earnings are lifetime-based, meaning current Affiliates continue earning as long as the referred user remains an active paying customer. Terminated Affiliate accounts are not entitled to further commissions, and any pending RevShare commissions on terminated accounts are forfeited.

- Hybrid (CPA + RevShare): Custom hybrid commission models may be negotiated for top-performing partners on request.

- Custom commission models and exclusive payouts may be negotiated for high-volume or high-quality partners.

4. Payment Terms

- Payouts are sent within NET 15 days after the end of each billing period.
- Each billing period consists of a full calendar month.
- Payment methods include PayPal, Cryptocurrency (USDT, BTC, ETH), Wire Transfer (SWIFT), Wise, and Capitalist.
- Affiliates must submit their payout details before the 1st of the month to be eligible for payout for that billing period.
- We require full name and postal address for self-billing purposes. This information must be updated in the Affiliate profile or provided to our team before the 1st of each month.
- All personal data provided is kept strictly confidential and will only be used for generating self-billing invoices and payout processing.
- Minimum payout threshold is set at $100 USD. Unpaid balances below the threshold will roll over to the next billing period.
- All payouts are made in USD. Exchange rates and transaction fees for non-USD payment methods are the Affiliate's responsibility.

5. Allowed Traffic Sources

GoLove allows a wide range of traffic sources for affiliates, including but not limited to:

- Mainstream Social Media (Facebook / Meta, TikTok, Snapchat, Twitter / X, Reddit, Pinterest)
- Paid Search (Google Ads, Bing Ads, YouTube Ads — non-brand keywords only)
- Native Ad Networks (Taboola, Outbrain, MGID, RevContent, Nativo)
- Push Notification Networks (PropellerAds, RichAds, EvaDav, Adsterra, MegaPush)
- Display & Programmatic (Google Display Network, AdRoll, Criteo, The Trade Desk, DV360, StackAdapt)
- In-App / Mobile Ad Networks (AppLovin, Unity Ads, ironSource, AdMob, Liftoff, Vungle)
- Adult Ad Networks (ExoClick, TrafficJunky, JuicyAds, EroAdvertising, TrafficStars, and similar)
- Influencer Marketing & UGC (TikTok, Instagram, YouTube, OnlyFans creators, podcast and streamer sponsorships)
- SEO & Content Sites (review sites, comparison sites, blogs)
- Telegram channels and Discord communities
- Email Marketing (opt-in lists only — pre-approval required)

Affiliates are responsible for complying with the policies of each traffic source and applicable advertising laws.

6. Prohibited Promotional Methods

All marketing through the GoLove Affiliate Program must be lawful and ethical. The following are strictly prohibited:

6.1. Brand Bidding on Paid Search
- Affiliates may not bid on our brand name "GoLove", its variations, misspellings, or related terms (including "go love", "golove ai", "golove.ai") in Google Ads, Bing Ads, or any other paid search platforms.
- This includes exact match, phrase match, and broad match modifiers targeting our brand name.
- SEO-based ranking attempts on our brand keywords are also prohibited.

6.2. Incentivized Traffic
- Affiliates may not use any form of cashback, rewards, or incentive-based traffic (e.g., "Get $X for signing up through my link", points, coins, in-game rewards, etc.).
- Abnormal conversion rates will raise suspicion of incentivized traffic. If the Affiliate cannot justify the source of traffic, the source/account will be suspended from payout pending investigation.

6.3. Falsely Using GoLove's Name or Claiming to Act on Our Behalf
- Affiliates require our explicit, written consent before launching any marketing, PR, or similar campaigns under our name, or using our name when speaking to journalists or others who may publish news stories or information about the company or product.
- Affiliates' work is exclusively on their own behalf. Affiliates may not act or claim to act on GoLove's behalf, including but not limited to launching marketing campaigns under our name or falsely representing that the content of marketing campaigns has been authorized by us.
- Affiliates may not register domains, social media accounts, or any digital properties containing our brand name without prior written consent.

6.4. Illegal, Offensive, or Harmful Content
- Affiliates may not promote or market on websites or any online properties containing illegal, offensive, or harmful content, including but not limited to: child sexual abuse material (CSAM), child exploitation, hate speech, self-harm content, real violence, sexual violence, leaked content, non-consensual intimate imagery, and deepfakes of real persons without consent.
- Affiliates may not promote or market on websites that contain or advertise with terms associated with sexualizing minors (e.g., "pre-teen", "lolita", "schoolgirl", "barely legal" used in a way suggesting underage, etc.).
- Marketing through the Program must not infringe upon, misappropriate, or otherwise violate any copyright or intellectual property rights of any person or entity.
- Marketing through the Program must not otherwise violate or breach any duty toward, or rights of, any person or entity.

6.5. Other Restricted Content & Practices
- Affiliates may not promote or market through spam, content locking, or deceitful tactics (e.g., email spam, forum spam, misleading redirects, unauthorized landing page modifications, fake celebrity endorsements, fake testimonials).
- Affiliates may not place adult landing pages and/or adult marketing material on online properties likely to be viewed by minors. Affiliates must implement appropriate age-gating where required.
- Any online properties where adult marketing material is placed must comply with local age verification requirements (including but not limited to UK Online Safety Act, US state laws requiring age verification, EU regulations).
- Affiliates must comply with applicable anti-spam laws (e.g., CAN-SPAM Act, CASL, GDPR) and industry regulations.
- You may not disparage our brand or otherwise portray us in a negative or misleading light.
- Non-functional or inactive URLs may be considered, in our sole discretion, to violate these Terms & Conditions.
- Affiliates may not use cookie stuffing, hidden iframes, adware, toolbars, or any other deceptive tracking methods.
- Pre-approval is required for: Email marketing campaigns and any traffic source not explicitly listed in the offer details.

7. Termination & Forfeiture of Commissions

- We reserve the right to deactivate or terminate your account if it has engaged in practices that are prohibited under these Terms & Conditions or are otherwise unlawful.
- In appropriate cases, we may deactivate or terminate your account with no notice to you pending further investigation.
- Affiliates violating these terms forfeit any unpaid commissions, including pending RevShare earnings.
- We reserve the right to reverse, hold, or deduct commissions for fraudulent, refunded, chargebacked, or otherwise invalid conversions at any time.

8. Confidentiality & Compliance

- Affiliates are prohibited from publicly disclosing their commission rates, earnings, or any non-public information about the GoLove Affiliate Program without written consent.
- Affiliates must comply with all applicable laws and regulations, including data protection laws (GDPR, CCPA), advertising guidelines, adult content regulations, and platform-specific policies (Meta, Google, TikTok, etc.).
- We actively monitor traffic and sales for potential fraud. If fraudulent activity is detected, payouts will be withheld pending investigation.
- Affiliates must not share their account credentials or grant access to third parties without written approval.

9. Program Changes

- We may update these Terms & Conditions at any time at our sole discretion. Affiliates will be notified of significant changes via email or through the Affiliate dashboard.
- Continued participation in the Program after notification of changes constitutes acceptance of any updates.

10. Indemnification

You will indemnify, defend, and hold us harmless, at your expense, against any third-party claim, suit, action, or proceeding (each, an "Action") brought against us (and our officers, directors, employees, agents, service providers, licensors, and affiliates) by a third party not affiliated with us to the extent that such Action is based upon or arises out of:
(a) your participation in the Affiliate Program,
(b) any and all marketing activities conducted, including any use of tools, in connection with your participation in the Affiliate Program, or
(c) your noncompliance with or breach of these Affiliate Terms and Conditions and/or applicable laws or legal obligations.

We will: notify you in writing within thirty (30) days of our becoming aware of any such claim; give you sole control of the defense or settlement of such a claim; and provide you (at your expense) with any and all information and assistance reasonably requested by you to handle the defense or settlement of the claim. You shall not accept any settlement that (i) imposes an obligation on us; (ii) requires us to make an admission; or (iii) imposes liability not covered by these indemnifications or places restrictions on us without our prior written consent.

11. Disclaimers; Limitations of Liability

Disclaimer of Warranties. WE AND OUR AFFILIATED COMPANIES AND AGENTS MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, SECURITY, OR ACCURACY OF THE AFFILIATE PROGRAM OR ANY TOOLS MADE AVAILABLE BY US FOR ANY PURPOSE. ANY TOOLS, PRODUCTS, AND/OR SERVICES MADE AVAILABLE IN CONNECTION WITH THE AFFILIATE PROGRAM MAY NOT BE AVAILABLE AT ALL TIMES AND — TO THE EXTENT PERMITTED BY LAW — ARE PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND. WE DISCLAIM ALL WARRANTIES AND CONDITIONS OF ANY KIND WITH REGARD TO ANY TOOLS, PRODUCTS, AND/OR SERVICES MADE AVAILABLE IN CONNECTION WITH THE AFFILIATE PROGRAM, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Limitation of Liability. IF, NOTWITHSTANDING THE OTHER TERMS OF THIS AGREEMENT, WE ARE DETERMINED TO HAVE ANY LIABILITY TO YOU OR ANY THIRD PARTY, THE PARTIES AGREE THAT OUR AGGREGATE LIABILITY WILL BE LIMITED TO THE TOTAL COMMISSION AMOUNTS YOU HAVE ACTUALLY EARNED FOR THE RELATED CUSTOMER TRANSACTIONS IN THE TWELVE MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO A CLAIM.
